Affiliate Store Agreement (V4)

This Affiliate Store Agreement (“Agreement”) is entered into electronically between Ricart Inc (the “Fulfillment Partner”) and the individual or organization accepting these terms (“Affiliate”).

By creating or operating an affiliate store, you agree to be bound by this Agreement.

1. Eligibility

To become an Affiliate, you must:

Be at least 18 years of age
Have legal capacity to enter into contracts
Provide accurate and complete information

2. Role of the Parties

The Affiliate operates a branded online store for their organization, team, school, or program.
The Fulfillment Partner provides the technology, production, fulfillment, and support services.
The Fulfillment Partner does not own or control the Affiliate’s brand, customers, or marketing activities.

3. Affiliate Store Operations

Affiliates may only sell products made available through the Fulfillment Partner’s system.
All orders placed through an Affiliate Store are fulfilled directly by the Fulfillment Partner.
Affiliates are responsible for promoting their store and supporting their customers at the first level.

4. Customer Ownership & Data Use

Customers who place orders through an Affiliate Store are customers of the Affiliate, not customers of the Fulfillment Partner.
Affiliate customer data may only be used for:
- Store-specific communications
- Program-related marketing
Customer data must not be used for unrelated outreach or sold to third parties.

The Fulfillment Partner and its staff may access customer data only for operational purposes and may not use it for sales prospecting or unrelated marketing.

5. Payments & Commissions

Affiliates earn commissions or mark-ups as configured within the system.
Payment details must be provided (e.g., PayPal or approved alternative).
Payments are issued monthly, subject to minimum thresholds and transaction fees.
Affiliates are responsible for reporting and remitting any taxes applicable to their earnings.

6. Content, Artwork & Conduct

Affiliates must ensure that:

All submitted artwork and content complies with applicable laws
They hold the rights to all designs used
Their store does not promote illegal, hateful, or exploitative content

The Fulfillment Partner may suspend or terminate stores that violate content standards or create legal, reputational, or workplace safety risks.

7. Marketing, Photography & Privacy

The Fulfillment Partner may create promotional content in operational environments.
Affiliate products or designs may appear incidentally in the background of such content.
This does not constitute endorsement or promotion of the Affiliate.
Affiliates requiring strict privacy must notify the Fulfillment Partner in writing.

8. Term & Termination

This Agreement continues until terminated by either party.
Either party may terminate with 10 days’ written notice.
Immediate termination may occur for serious breaches, illegal activity, or misuse of the platform.
Outstanding commissions earned prior to termination will be paid in accordance with this Agreement.

9. Intellectual Property

Each party retains ownership of their respective intellectual property.
No ownership or licensing rights are transferred except as necessary to operate the Affiliate Store.

10. Limitation of Liability

To the maximum extent permitted by law:

The Fulfillment Partner is not liable for indirect, incidental, or consequential damages.
Liability is limited to amounts paid to the Affiliate in the preceding 12 months.

11. Indemnification

The Affiliate agrees to indemnify and hold harmless the Fulfillment Partner from any claims, losses, or damages arising from:

Affiliate content or designs
Affiliate marketing activities
Customer disputes originating from the Affiliate Store

12. Governing Law

This Agreement is governed by the laws of Ontario, Canada, and applicable federal laws.

Disputes shall be resolved in Ontario courts, unless otherwise required by law.

13. Acceptance

By creating or operating an Affiliate Store, the Affiliate confirms acceptance of this Agreement.
